Seller Agreement

You're an independent seller, not an employee, agent, partner, or joint venturer of Manual Marketplace. You're solely responsible for how you produce your Guides, and for any business you conduct in connection with the Service, including compliance with any licensing requirements that apply to your trade.

• You set the price for each Guide you list, per block of 5 seats per month, within the platform-wide price band shown when you create or edit a Guide (currently a minimum and a maximum per block — see the Guide settings page for the current numbers, which we may adjust over time).
• You can change your price at any time; changes apply to future billing periods, not retroactively.
• You can unlist a Guide from the marketplace at any time. Existing subscribers keep their access under the terms in place when they subscribed unless you and Manual Marketplace agree otherwise.

Every time a company pays for a subscription to one of your Guides, here's what happens to that payment:

• Stripe processes the charge and deducts its own payment-processing fee (Stripe's standard rates, which we don't control — see stripe.com/pricing). This is a cost of card processing, not a Manual Marketplace fee.
• From what's left, Manual Marketplace's platform fee — currently 20% of the gross subscription price — is retained automatically via Stripe Connect's application fee mechanism.
• The remainder is transferred to your connected Stripe account as your payout, on Stripe's normal payout schedule for your account.

Example: on a $10/month subscription, Stripe's processing fee comes off first (a few percent plus a small fixed amount, depending on Stripe's current rates), then Manual Marketplace takes 20% of the $10 gross ($2), and you receive the rest. We may change the 20% rate prospectively with notice; we won't change it retroactively for a period you've already been paid for.

• Payouts require connecting a Stripe Express account through your dashboard. Stripe may require identity and business information directly from you to enable payouts (this is Stripe's own compliance requirement, not something we see or store).
• Payout timing and any payout holds or reserves are governed by Stripe's terms and by Stripe's assessment of your connected account, not by us.
• If your Stripe account is restricted, rejected, or closed, we may be unable to pay you until that's resolved with Stripe directly.

• You keep ownership of every Guide you upload — video, photos, and written steps.
• You represent that you own the content or have all necessary rights to publish it, that publishing it doesn't infringe any third party's copyright, trademark, privacy, or other rights, and that you have the right to depict any person, workplace, or equipment shown in it.
• You grant Manual Marketplace a non-exclusive, worldwide, royalty-free, sublicensable (to our hosting/video providers, like Mux, solely to operate the Service) license to host, store, stream, publicly display, reproduce, and use your Guide's title/description/thumbnail for marketing and search purposes on the platform, for as long as the Guide remains listed (and, for subscriber-facing access, for as long as needed to honor active subscriptions after you unlist it).
• This is a non-exclusive license — you're free to sell, license, or publish the same content elsewhere, on your own site or on other platforms, unless you separately agree otherwise with us.

You represent that your Guide is accurate to the best of your professional knowledge at the time you publish it, and that you have the expertise you claim (via your displayed name/bio) to be teaching the technique shown. You understand and agree that Manual Marketplace does not review, verify, or test the technical accuracy or code-compliance of any Guide, and that the safety disclaimer in the Terms of Service applies fully to content you publish — you are not indemnified by us for claims arising from your content, and Section 15 of the Terms (Indemnification) applies to you as a publisher.

You control, per Guide, whether its video/steps are visible to any company by default ("preview") or hidden until you approve a request, and whether companies can request a free 14-day/5-seat trial. Granting either doesn't create a billing relationship — it's entirely your discretion to grant, decline, or revoke access on a going-forward basis.

We may remove a Guide or suspend your seller access for violating these terms, for legal or safety concerns, or for content that's inaccurate in a way that could cause harm. Where reasonably possible, we'll tell you why. You may stop selling at any time by unlisting your Guides; amounts already earned and payable will still be paid out per Section 4.
